The Issuer intends to use the net proceeds of the issuance of the Notes to invest, on or as soon as practicable following the Issue Date, in limited partnership interests in Driftwood GNP ONTARIO V, LP, registered under the laws of the Province of Ontario on 1 May 2025, having its registered office at 181 Bay Street, 1800, Toronto, Ontario, Canada M5J 2T9. The general partner of the Partnership is Driftwood Great North GP V, LLC, a Delaware limited liability company, and is responsible for the management of the Partnership’s affairs as more particularly set out in the Investment Summary and Limited Partnership Agreement. The Partnership has been formed for the purpose of acquiring, owning and dealing with the limited partner interests of Driftwood GNP V, LP, a Delaware limited partnership organised by the Partnership and the General Partner for the purpose of directly or indirectly entering into participation agreements with respect to existing mezzanine debt instruments.
