EQS-Ad-hoc: CHERRY SE / Key word(s): Financing/Transaction in Own Shares Munich, October 23, 2025 – On October 23, 2025, Cherry SE, Munich, ("Company") and its subsidiaries Cherry Americas LLC ("Cherry US") and Cherry Europe GmbH ("Cherry Europe", together with the Company and Cherry US, "Cherry") entered into two arrangements with Argand Partners, LP, on behalf of certain of its affiliates (together "Argand"), to bolster Cherry's liquidity. As a current major shareholder, Argand is a related party to the Company within the meaning of Section 111a of the German Stock Corporation Act (AktG). Under these arrangements, Argand has provided funds in the amount of EUR 2.2 million for the purchase of (i) two intra-group loan receivables against Cherry US and Cherry Europe for a total nominal value of approximately EUR 1.52 million and (ii) 1,100,284 treasury shares at the aggregate current market price of approximately EUR 680,000. Of these loans, EUR 500,000 of the loan receivables will be due for repayment by Cherry US no later than March 31, 2026, and the remaining loan amount will be deferred until the end of 2027. Furthermore, Argand has committed an additional EUR 3.5 million to provide the Company with further liquidity by purchasing certain inventory from Cherry US at the current market value. Cherry US will act as a warehouser and selling agent for Argand.
