Announcement of the buyback of own shares as part of an employee participation program

Garbsen, November 18, 2024 - LPKF Laser & Electronics SE (LPKF) will carry out a share buyback. In the period from November 19 to 27, 2024, up to 21,838 own bearer shares of LPKF are to be repurchased on the legal basis of Section 71 para. 1 no. 2 AktG at a total purchase price of up to EUR 183,000.00 (excluding incidental acquisition costs).

The share buyback serves to implement the Employee Participation Program 2024 resolved by the Management Board of LPKF Laser & Electronics SE in September 2024.

Immediately after the buyback is completed, the shares are transferred to the employees participating in the employee share ownership program in accordance with the plan conditions.

The buyback is carried out in accordance with the safe harbor provisions of Art. 5 of Regulation (EU) No. 596/2014 in conjunction with Commission Delegated Regulation (EU) 2016/1052.

A bank has been commissioned to carry out the buyback, which will make its decisions on the timing of the acquisition of the shares independently of and uninfluenced by LPKF within the aforementioned period. LPKF's right to terminate the bank's mandate prematurely and to transfer the order to another bank remains unaffected.

The buyback will be carried out at the lowest possible price and in the best interests of the shareholders via electronic trading on the Frankfurt Stock Exchange (XETRA). The purchase price will comply with the requirements of the safe harbor regulations.

The share buyback can be suspended and resumed at any time in accordance with the legal requirements to be observed.

The transactions shall be announced in a manner that complies with the requirements of Art. 2 (3) of Commission Delegated Regulation (EU) 2016/1052 no later than the end of the seventh trading day following their execution.
LPKF will report on the progress of the buyback program on the company's website (www.lpkf.com) in the Investor Relations/Share section in accordance with the statutory provisions.
