Amphenol Corporation Announces Pricing of €500 Million Senior Notes
Amphenol Corporation (NYSE:APH) ("Amphenol”) announced today the pricing of an offering of €500 million senior notes due 2026 (the "Notes”) to be issued by its wholly owned subsidiary, Amphenol Technologies Holding GmbH. The Notes will be guaranteed on a senior unsecured basis by Amphenol. The Notes will have an interest rate of 0.750% per annum. The closing of the offering is expected to occur on May 4, 2020, subject to the satisfaction of customary closing conditions.
Amphenol intends to use the net proceeds of this offering to repay amounts outstanding under its revolving credit facility.
The Notes (and related guarantee) are being offered to certain non-U.S. persons in transactions outside the United States in reliance on Regulation S under the Securities Act of 1933 (the "Securities Act”). The Notes (and related guarantee) have not been, and will not be, registered under the Securities Act or the securities laws of any state or other jurisdiction and may not be offered or sold absent registration or an applicable exemption from the registration requirements under the Securities Act and any applicable securities laws of any state or other jurisdiction. The Notes are expected to be listed on the Official List of Euronext Dublin and trade on the Global Exchange Market thereof.
