EEII AG: successfully increases its share capital

Ad-Hoc announcement pursuant to Art. 53 Listing Rules:

EEII AG successfully increases its share capital.

At the Extraordinary Shareholders' Meeting held in Zug today, the shareholders of the Company approved a capital increase by a maximum of 112,676 shares, each with a nominal value of CHF 14.20 ("New Shares") corresponding to a maximum of CHF 1,599,999.20. On that basis, already today, a capital increase by 103,991 New Shares in the overall amount of CHF 1,476,672.20 has been completed.

The Extraordinary Shareholders' Meeting of today resolved to increase the Company's share capital by a maximum amount of CHF 1,599,999.20 from CHF 10,845,321.00 to a maximum of CHF12,445,320.20, by a maximum of 112,676 bearer shares, each with a nominal value of CHF 14.20, at an issue price of CHF 14.20 ("New Shares"). The New Shares have a different nominal value than the existing listed bearer shares with a nominal value of CHF 7.10 each and will not be listed for the time being.

The New Shares were allocated to and subscribed by SEBRINA HOLDING SUISSE SA as a consideration for the set-off of its claims against the Company. SEBRINA HOLDING SUISSE SA has subscribed for 103,991 New Shares (out of a maximum of 112,676 New Shares) in the overall amount of CHF 1,476,672.20 (out of a maximum of CHF 1,599,999.20). Therefore, such New Shares have been validly subscribed for. The respective capital increase has already been completed today by registering it into the daily register of the competent commercial register.

Following this successful increase in share capital, the total overall nominal share capital has risen to CHF 12,321,993.20.
